If you use payroxx on behalf of a company, merchant, organization or other legal entity, you represent that you have authority to bind that entity to the applicable agreement.

3. Account Registration & Responsibilities

Account information

Customers are responsible for providing accurate, complete and current information during registration and throughout their relationship with payroxx.

Account security

  • Do not share API keys or secret credentials.
  • Notify payroxx of suspected unauthorized access.
  • Maintain appropriate security for connected systems and devices.

Authorized users

Customers are responsible for activity performed by users they authorize to access their payroxx account, dashboard, API credentials or other service interfaces.

4. Verification, KYC & Compliance

Because payroxx operates in the fintech and payments environment, certain services may require customer or business verification.

Depending on the product, verification may include business identity, ownership, authorized representatives, transaction information, documentation or other information required by payroxx or relevant partners.

You agree to provide information that is accurate and not misleading and to cooperate with reasonable verification requests.

Failure to complete required verification may prevent activation or continued access to certain services.

5. payroxx Services

payroxx may provide technology and infrastructure supporting a range of fintech and payment products.

UPI Collection

UPI collection functionality may allow businesses to accept supported digital payments through available payment interfaces and receive transaction status information.

Payout

Payout functionality may allow eligible customers to initiate supported transfers to beneficiaries through available financial infrastructure.

Payment Gateway

Payment gateway functionality may provide technology for accepting and processing supported payment methods through an integrated checkout or API.

Payment Links

Payment link functionality may allow a business to create a payment request that can be shared with an end customer through supported communication channels.

Fintech APIs

payroxx APIs may provide programmatic access to selected payment, transaction, account or financial technology functionality.

White-label technology

Where offered, white-label services may allow eligible businesses to present selected payroxx technology under their own branding, subject to the applicable agreement and technical requirements.

6. Transactions

Transactions submitted through payroxx services must be authorized by the customer or its authorized users.

A transaction may be rejected, delayed, returned, reversed, placed under review or otherwise affected by circumstances including technical issues, payment network conditions, banking processes, risk controls, compliance requirements, insufficient balance or other factors.

A transaction status displayed by an payroxx system represents the status available to payroxx at that time and may be subject to subsequent updates where supported.

7. Fees, Charges & Taxes

Use of certain payroxx services may be subject to fees, transaction charges, platform charges, subscription fees, setup charges or other commercial costs.

Applicable pricing may be communicated through a commercial agreement, pricing schedule, dashboard, invoice, order form or other authorized communication.

Unless otherwise agreed, customers are responsible for applicable taxes, government charges and other amounts arising from their use of the services.

8. Settlement

Settlement timing depends on the specific product, customer agreement, transaction type, banking infrastructure and applicable processing conditions.

References to instant, T+0, same-day or other settlement timelines should not be interpreted as an unconditional guarantee that every transaction will settle within a particular period.

Bank holidays, network availability, technical issues, risk reviews, transaction status, compliance checks and third-party processing may affect settlement.

9. API, SDK & Technical Integration

API credentials

API keys, tokens, secrets and credentials must be treated as confidential. Customers must not publish private credentials in client-side applications, public repositories or other publicly accessible locations.

Responsible integration

Customers are responsible for implementing appropriate authentication, request validation, error handling, webhook verification, logging and other controls appropriate to their integration.

Rate limits

payroxx may apply API rate limits, quotas or technical restrictions to maintain platform stability, security and service availability.

Webhooks

Where payroxx provides webhook functionality, customers are responsible for validating webhook requests and implementing appropriate idempotency and retry handling.

10. Security Responsibilities

Security is a shared responsibility between payroxx, customers, developers, financial partners and other parties involved in a transaction.

  • Protecting payroxx-controlled infrastructure.
  • Maintaining appropriate access controls.
  • Monitoring relevant systems.
  • Responding to security incidents according to applicable procedures.

Customers may be responsible for

  • Protecting account credentials.
  • Securing their own applications.
  • Protecting API keys and secrets.
  • Controlling employee access.
  • Maintaining secure devices and systems.

11. Prohibited Activities

Customers must not use payroxx services for activities that are unlawful, fraudulent, deceptive, abusive or otherwise prohibited.

Examples may include:

  • Money laundering or terrorist financing.
  • Fraudulent transactions.
  • Unauthorized financial activity.
  • Identity theft or impersonation.
  • Distribution of malicious software.
  • Unauthorized access to systems.
  • Manipulation of payment information.
  • Activities prohibited by applicable law.
  • Activities specifically restricted by payroxx or its financial partners.

12. Suspension & Restrictions

payroxx may temporarily restrict access to services where reasonably necessary to protect the platform, customers, financial partners or users.

  • Unusual transaction activity.
  • Required verification.

Where appropriate and legally permitted, payroxx may provide information regarding the reason for a restriction and the steps required to restore access.

13. Intellectual Property

payroxx and its licensors retain rights in payroxx software, websites, interfaces, documentation, branding, designs, technology, content and other intellectual property.

Except as expressly permitted under an applicable agreement, customers may not copy, modify, reverse engineer, distribute, sell, sublicense or create derivative works from payroxx technology.

Customer content

Customers retain ownership of content and information they provide, subject to the rights necessary for payroxx to operate and provide the applicable services.

14. Disclaimers & Limitation of Liability

payroxx aims to provide reliable technology, but fintech and payment infrastructure depends on multiple systems and third parties.

Accordingly, payroxx does not guarantee that every service will always be uninterrupted, error-free, available or successful for every transaction.

To the extent permitted by applicable law, payroxx will not be responsible for losses resulting from circumstances outside its reasonable control, including failures of banks, payment networks, telecommunications, internet infrastructure, third-party providers, force majeure events or unauthorized activity resulting from customer security failures.

Important: Any specific liability limits, warranties, indemnities or service commitments may be defined in a separate commercial agreement between payroxx and the customer.

15. Termination

Either party may terminate a service relationship according to the applicable commercial agreement.

payroxx may terminate or suspend access where permitted by the applicable agreement or where continued service creates legal, security, financial or operational risk.

Termination does not necessarily eliminate obligations that by their nature should continue, including payment obligations, confidentiality, intellectual property, liability provisions or legally required record retention.

16. Changes to Services or Terms

payroxx may modify, improve, replace or discontinue features, functionality or services from time to time.

These Terms may also be updated to reflect changes in technology, business operations, legal requirements or services.

Where legally required, appropriate notice may be provided before material changes become effective.

17. Governing Law & Disputes

These Terms and any dispute arising from the use of payroxx services should be governed by the applicable law and dispute-resolution provisions specified in the relevant payroxx commercial agreement.

Where no separate agreement applies, the appropriate governing law, jurisdiction and dispute mechanism should be specified by payroxx's legal and compliance team before publication of these Terms.
